Welcome to Tenseal. By accessing or using our platform (including Escrow, Inventory Management, and Marketplace services), you agree to be bound by these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By creating an account or using Tenseal's services, you confirm that you:

• Are at least 18 years old or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Will use the service in compliance with all applicable laws and regulations
• Accept and agree to be bound by these Terms of Service

2. Escrow Services

2.1 Service Description

Tenseal provides escrow services that hold funds securely until both parties in a transaction fulfill their obligations. We act as a neutral third party to facilitate safe transactions.

2.2 How It Works

• Buyer and seller agree on transaction terms
• Buyer deposits funds into escrow
• Seller delivers goods/services
• Buyer confirms receipt and satisfaction
• Funds are released to seller

2.3 Transaction Requirements

All transactions must have clear, documented terms including:

• Complete description of goods or services
• Agreed-upon price and currency
• Delivery timeline and method
• Inspection period (if applicable)
• Conditions for fund release

3. User Responsibilities

3.1 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Providing accurate and up-to-date information

3.2 Prohibited Activities

You may not use Tenseal to:

• Engage in fraudulent or illegal activities
• Trade in prohibited items (weapons, drugs, counterfeit goods, etc.)
• Violate any local, national, or international laws
• Manipulate or abuse the escrow system
• Harass, threaten, or harm other users
• Upload malicious code or attempt to breach security

4. Fees and Payments

4.1 Service Fees

Tenseal charges fees for escrow services as disclosed at the time of transaction creation. Fees are typically a percentage of the transaction value and may vary based on:

• Transaction size
• Payment method
• Service type (standard, milestone, recurring)
• Additional services requested

4.2 Fee Payment

Fees can be paid by either party or split as agreed. All fees are clearly displayed before confirming a transaction.

5. Dispute Resolution

5.1 Dispute Process

If a dispute arises, either party may open a dispute case. Our mediation team will:

• Review all submitted evidence from both parties
• Examine transaction terms and communications
• Make a fair determination based on evidence
• Release funds according to the decision

5.2 Final Decision

Tenseal's dispute resolution decision is final and binding. By using our service, you agree to accept our determination in dispute cases.

6. Inventory Management Services

6.1 Service Description

Tenseal provides a cloud-based inventory management SaaS platform that enables businesses to manage products, orders, staff, and customer communications. The service includes optional integrations with third-party platforms such as WordPress.

6.2 Tenant Responsibilities

As an inventory tenant (business account holder), you are responsible for:

• Accuracy of product listings, pricing, and descriptions
• Fulfillment of orders placed through your forms and storefronts
• Compliance with consumer protection laws in your jurisdiction
• Managing your staff accounts and their access permissions
• Proper handling of customer data in compliance with privacy regulations

6.3 Notification Channels

Tenseal provides notification services through email, SMS, and WhatsApp to facilitate communication between tenants and their customers. Availability of channels depends on your subscription plan. By enabling notifications, you confirm that:

• You have proper consent from recipients to send notifications
• Messages sent comply with applicable anti-spam and telecommunications laws
• You will not use notification channels for unsolicited marketing
• SMS and WhatsApp message volumes may be subject to plan limits

6.4 WordPress Integration

The Tenseal WordPress plugin enables embedding order forms and product displays on external WordPress sites. Tenseal is not responsible for the operation, security, or availability of third-party WordPress installations.

6.5 Multi-Channel Ordering (WhatsApp & USSD)

Tenseal offers WhatsApp Business and USSD ordering channels subject to availability and your subscription plan. By enabling these channels, you agree to comply with Meta's WhatsApp Business Policy, your local telecommunications regulator's USSD guidelines, and any carrier-specific terms. Message and session charges incurred with carriers or WhatsApp are passed through on an at-cost or plan-included basis.

6.6 Optional Escrow Protection on Orders

Inventory tenants may optionally route individual orders through the Tenseal Escrow service. When escrow is enabled on an order, sections 4 and 5 of these Terms apply in addition to this section. The tenant remains the merchant of record; Tenseal acts solely as a neutral escrow agent.

7. Developer API & Integrations

7.1 API Access

Tenseal exposes a RESTful API at api.tenseal.co/v1. Access requires a valid API key or Bearer token generated from your account. By using the API you agree to:

• Keep your API keys confidential and rotate them immediately if exposed
• Respect published rate limits and backoff appropriately when throttled
• Not attempt to reverse-engineer, scrape, or abuse the service
• Comply with all applicable data-protection laws when processing customer data obtained via the API

7.2 Webhooks

Webhook endpoints you register must verify the X-Tenseal-Signature header. Tenseal is not liable for processing of forged or replayed events where signature verification was skipped or incorrectly implemented.

7.3 Sandbox Environment

The sandbox environment (sandbox-api.tenseal.co) is provided for testing only. Data may be purged without notice. Do not use sandbox for production workloads.

7.4 Acceptable Use

We reserve the right to suspend API keys or terminate accounts that exhibit abusive behaviour including but not limited to: excessive error rates, denial-of-service patterns, credential stuffing, or use of the API to violate these Terms.

8. Subscription Plans

7.1 Plan Tiers

Tenseal offers various subscription plans for its services. Plan features, limits, and pricing are as displayed on the pricing page and may be updated from time to time. Changes to plan pricing will not affect current billing cycles.

7.2 Billing

Subscription fees are billed monthly or annually as selected. All fees are non-refundable unless otherwise stated. You may upgrade or downgrade your plan at any time; changes take effect at the start of the next billing cycle for downgrades, or immediately for upgrades.

7.3 Cancellation

You may cancel your subscription at any time. Upon cancellation, your account will remain active until the end of the current billing period. After that, your account will revert to the free plan (if available) and data retention policies will apply.

9. Limitation of Liability

Tenseal provides escrow and inventory management services but is not a party to the underlying transactions between buyers and sellers. We are not responsible for:

• The quality, safety, or legality of items advertised
• The truth or accuracy of listings
• The ability of sellers to deliver goods or services
• The ability of buyers to pay for items
• Disputes regarding transaction terms set by users

10. Termination

We reserve the right to suspend or terminate your account if:

• You violate these Terms of Service
• You engage in fraudulent activity
• You provide false information
• Required by law or regulatory authorities

11. Changes to Terms

We may update these Terms of Service from time to time. Continued use of Tenseal after changes constitutes acceptance of the updated terms. We will notify users of significant changes via email or platform notification.
